These Terms of Service ("Terms") form a binding agreement between CareBridge Ltd ("CareBridge") and the organisation or individual ("Customer") that accesses or uses the CareBridge platform (the "Service").
1. The Service
CareBridge provides a hosted workforce-compliance platform for UK adult social-care providers, including safer-recruitment workflows, DBS and Right-to-Work tracking, training matrix, supervision logs and CQC evidence packs.
2. Account and access
- You must be at least 18 years old and authorised to bind your organisation.
- You are responsible for keeping credentials confidential and for activity under your account.
- You will not share log-in credentials between users.
3. Subscription & fees
Fees are payable monthly or annually in advance. Free trials convert to paid subscriptions unless cancelled before the trial ends. Fees are non-refundable except where required by law.
4. Customer data & data protection
The Customer retains all rights in data uploaded to the Service. CareBridge processes such data as a processor under the Data Processing Agreement, which forms part of these Terms.
5. Acceptable use
- No upload of unlawful, infringing or malicious content.
- No attempt to probe, scan or reverse-engineer the Service.
- No use that interferes with other customers or our infrastructure.
6. Availability
We target 99.9% monthly availability, excluding scheduled maintenance and force-majeure events. Service-level commitments for Enterprise plans are set out in the Order Form.
7. Intellectual property
CareBridge and its licensors own all rights in the Service. The Customer receives a non-exclusive, non-transferable licence to use the Service during the subscription term.
8. Confidentiality
Each party will protect the other's confidential information with the same care it uses for its own, and not less than a reasonable standard of care.
9. Warranties & liability
Except as expressly stated, the Service is provided "as is". To the maximum extent permitted by law, neither party is liable for indirect or consequential loss. CareBridge's total liability in any 12-month period is capped at the fees paid in that period. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be limited.
10. Term & termination
Either party may terminate for material breach not cured within 30 days of notice. On termination, the Customer may export its data for 30 days, after which we will delete or anonymise it.
11. Governing law
These Terms are governed by the laws of England & Wales and subject to the exclusive jurisdiction of the English courts.
